[ObtainingDisputeAdjudicationBoard'sDecision].ThePartiesshalljointlyappointaDABbythedatestatedintheAppixtoTer.

TheDABshallcomprise,asstatedintheAppixtoTer,eitheroneorthreesuitablyqualifiedpersons("themembers").IfthenumberisnotsostatedandthePartiesdonotagreeotherwise,theDABshallcomprisethreepersons.

IftheDABistocomprisethreepersons,member,whoshallbeappointedtoactaschairman.

However,ifalistofpotentialmembersisincludedintheContract,themembersshallbeselectedfromthoseonthelist,otherthananyonewhoisunableorunwillingtoacceptappointmenttotheDAB.

TheagreementbetweenthePartiesandeitherthesolemember("adjudicator")oreachofthethreemembersshallincorporatebyreferencetheGeneralConditionsofDisputeAdjudicationAgreementcontainedintheAppixtotheseGeneralConditions,withsuchammentsasareagreedbetweenthem.

TheappointmentofanymembermaybeterminatedbymutualagreementofbothParties,,theappointmentoftheDAB(includingeachmember)[Discharge]shallhavebecomeeffective.

争端应按照第20.4款［取得争端裁决委员会的决定］的规定，由争端裁决委员会（简称DAB一译注）裁决。双方应在投标书附录中规定的日期前，联合任命一个DAB。

DAB应按投标书附录中的规定，由具有适当资格的一名或三名人员（“成员”）组成。如果对委员会人数没有规定，且双方没有另外协议，DAB应由三人组成。

如果DAB由三人组成，各方均应推荐一人，报他方认可。双方应与这些成员协商，并商定第三名成员，此人应任命为主席。

但如果合同中包括有备选成员名单，除有人不能或不愿接受DAB的任命外，成员应从名单上的人员中选择。

双方与该唯一成员（“裁决人”）或该三人成员中的每个人间的协议书，应参考本通用条件附录的争端裁决协议书一般条件，结合他们间商定的此类修订意见拟定。

该唯一成员或三人成员中的每个人的报酬条件，包括DAB咨询过的任何专家的报酬在内，应由双方在协商任命条件时共同商定。每方应负担上述报酬的一半。

如果经双方同意，他们可以在任何时候联合将某事项交由DAB提出意见。一方未得另一方同意，不应与DAB商谈任何事项。

如果经双方同意，他们可以在任何时候任命一位或几位有适当资格的人员，替代DAB的任何一位或几位成员（或作替代人员的后备）。除非双方另有协议，在某一成员拒绝履行职责，或因其死亡、无行为能力、辞职或任命期满而不能履行职责时，上述替代任命即告生效。

如果发生以上情况，又无可替代人员，应按本款所述对被替代人员在提名或商定时所需的同样方式，任命一位替代人员。

对任何成员的任命，可以经过双方相互协议终止，但雇主或承包商都不能单独采取行动。除非双方另有协议，在第14.12款［结清证明］中的结清证明生效后，DAB（包括每位成员）的任期应即期满。

20.3款［对争端裁决委员会未能取得一致］：

Ifanyofthefollowingconditionsapply,namely:

(a)thePartiesfailtoagreeupontheappointmentofthesol,

(b)eitherPartyfailstonominatemember(forapprovalbytheotherParty)ofaDABofthreepersonsbysuchdate,

(c)thePartiesfailtoagreeupontheappointmentofthethirdmember(toactaschairman)oftheDABbysuchdate,or

(d)thePartiesfailtoagreeupontheappointmentofareplacementpersonwithin42daysafterthedateonwhichthesolememberoroneofthethreemembersdeclinestoactorisunabletoactasaresultofdeath,disability,resignationorterminationofappointment,

thentheappointingentityorofficialnamedintheAppixtoTershall,upontherequestofeitherorbothofthePartiesandafterdueconsultationwithbothParties,theappointingentityorofficial.

如果下列任一情况适用，即:

（a）到第20.2款第一段规定的日期，双方未能就DAB唯一成员的任命达

成一致意见；

（b）到该日期，任一方未能提名DAB三人成员中的一人（供另一方认可）；（c）到该日期，双方未能就DAB第三位成员（将担任主席）的任命达成一

致意见；或

（d）在唯一成员或三人成员中的一人拒绝履行职责，或因其死亡、无行

为能力、辞职或任命期满而不能履行职责后42天内，双方未能就任

命一位替代人员达成一致意见；

这时，在专用条件中指名的任命实体或官员，应在任一方或双方的请求下，并经与双方做应有的协商后，任命DAB该成员。此项任命应是最终的、决定性的。每方将负责支付给该任命实体或官员报酬的一半。
